MAKO SCORE TERMS OF SERVICE

These Terms of Service (“Terms”) govern the use of the MAKO Score Inc. website, valuation platform, reports, automated calculations, and related services (“Services”). By creating an account, accessing the platform, or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.
Who These Terms Apply To
These Terms apply to Business Users, Advisor Users, End Users, End Clients (when represented by uploading users), Representatives, and Visitors, as described in our Privacy Policy.
Agreement to Terms and Related Policies
These Terms work in conjunction with MAKO Score’s Privacy Policy, Cookie Policy, and Data Rights & Privacy Controls page. Together, these documents form the complete legally binding agreement governing your use of the Services.
Eligibility and Access
To use the Services, you must be at least 18 years old and legally able to enter into a binding agreement. If you create an account on behalf of an organization, you represent that you are authorized to accept these Terms on behalf of that organization.
Account Responsibilities
You must provide accurate account information and keep login credentials secure. You are responsible for all activity under your account unless otherwise required by law.
License to Use the Services
MAKO Score grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Services solely for permitted business or personal valuation purposes. This license does not transfer ownership.
You may not reproduce, modify, resell, sublicense, copy, reverse engineer, extract proprietary models or logic, or use the platform to build competitive products.
Data Accuracy and Legal Compliance
All information submitted through the platform must be accurate and lawfully obtained. Advisor Users and Business Users represent that they have the legal right to upload any End Client data. MAKO Score does not audit the accuracy of data submitted.
Fraud Prevention and Misuse
You agree not to use the Services to generate or submit intentionally inaccurate, misleading, or fraudulent information, or to bypass or manipulate valuation outputs. Suspicious activity may result in account suspension, data review, or reporting consistent with applicable law.
Automated Valuation Disclaimer
MAKO Score valuations are generated solely by automated logic dependent on user-submitted data. These outputs are estimates only and are not certified business appraisals. They should not be used as the exclusive basis for regulatory filings, lending requirements, litigation, taxation, insurance, or formal financial representation.
Subscription Fees and Billing
Access to certain features requires a paid subscription. Subscription fees are billed in advance, renew automatically unless canceled, and are non-refundable except where required by law. If payment fails, access may be suspended.
MAKO Score may adjust pricing with reasonable notice.
Beta and Experimental Features
MAKO Score may release features labeled as early-access, trial, or beta. These features may change or be discontinued at any time and are provided without guarantees.
Intellectual Property Ownership
MAKO Score retains all ownership rights to the platform, software code, valuation logic, algorithms, user interfaces, brand assets, and any related intellectual property.
Cookies and Tracking
The platform uses cookies for operational purposes. Some may be optional. Users may manage preferences through their browser or the Data Rights & Privacy Controls page.
Account Suspension and Termination
We may suspend or terminate access if there is a breach of these Terms, suspected fraud, misuse, or non-payment. Upon termination, access ends immediately. Some data may be retained for legal or operational reasons.
No Warranties
The Services are provided “as is” and “as available.” MAKO Score does not guarantee accuracy, timeliness, reliability, system uptime, valuation outcome suitability, or fitness for a particular purpose.
Limitation of Liability
To the fullest extent permitted by law, MAKO Score will not be liable for indirect, incidental, consequential, punitive, or special damages, including business interruption, lost profits, loss of goodwill, or valuation discrepancies.
If liability is ever established, it will not exceed the total amount paid to MAKO Score in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and defend MAKO Score from any claims, expenses, losses, or liabilities arising from your use of the Services, the information you provide, or your violation of these Terms or applicable law.
Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes must be resolved in a court with jurisdiction in Florida.
Changes to These Terms
We may update these Terms periodically. Continued use after updates indicates acceptance.
